Terms of service
Effective November 1, 2026.
Paidara is run by 15317886 Canada Inc., a federal corporation with its office in Edmonton, Alberta, operating as Paidara (we, us). These terms apply to the Paidara software, the Paidara text number, signing pages and paidara.com. You agree to them when you sign the pilot agreement or when you first sign in to Paidara, whichever comes first. The person who agrees confirms they can do so for the company they act for (you). Our privacy policy at paidara.com/privacy explains how we handle personal information, and a signed pilot agreement, if you have one, also applies.
1. What Paidara does
- Your crew texts photos, tickets and notes about extra work to your Paidara number
- Paidara reads them, files them by job, drafts change orders, notices, invoices and reminders, and shows the dates that matter for getting paid
- Your office approves everything before it goes to a client. For reminders on a change order, it okays them once and Paidara sends up to two on its own. For a notice of extra work, it can approve it once to go on the early warning day
- A hired truck pay sheet is a record of your own approved tickets. Paidara does not pay anyone. You pay the truck owner and are responsible for GST and any broker fees. The sheet is not tax or legal advice
- A receipt you text in is filed as a record. It may show card digits and names. Paidara files nothing with any tax office, and any GST on a receipt is for your bookkeeper to claim
- A days of delay line on a change order is an estimate from what your office enters. Your office checks it before anyone signs
2. Who can use it
- Paidara is for business use only. By signing up you confirm you will use it for your business and not for personal, family or household purposes
- The person signing up must be allowed to agree to these terms for the business
- Your crew and your clients use Paidara by text and by link because you set them up. You are responsible for who you add
- A paper is never shown as in good standing because a file was uploaded. Someone in your office must say they read it or checked it with whoever issued it
- You are responsible for the papers you upload, and for having each worker’s OK before a worker’s paper is shared with a client
- You can give a bookkeeper or accountant a look only role. They see invoices, payments, clients and figures, and never crew names, photos, signatures or worker papers. You are responsible for who you invite
3. Your account
- You sign in with Google, Microsoft, or a 6 digit code sent by text or email. Keep access to that account or phone private
- Tell us right away at hello@paidara.com if you think someone else has got into your account. What is done under your sign in counts as done by you until you tell us
- You decide who in your office has access. The owner role can add and remove people
- If your only owner leaves, email us and we will move the account to someone who shows they can act for the company
4. Our four promises
| Month to month | No long contract. Stop any time |
|---|---|
| Canadian dollars | Prices in Canadian dollars |
| Your data | Export your data from the app any time |
| No crew tracking | No location tracking, no app and no login for your crew |
5. Price and paying
- Prices are in your pilot agreement, or we send them to the account owner in writing before your first paid month. They are in Canadian dollars, with GST added
- You pay monthly, in advance. If you stop, you are not charged for the next month and you keep access to the end of the month you paid for. We do not refund part months
- We give at least 30 days’ notice by email to the account owner before a price change applies to you. If you do not accept it, you can stop before it applies
- If a payment fails, we tell you and give you 14 days to fix it before we pause your account
6. Free tools on paidara.com
- Paidara has no free tools on paidara.com yet. If we add one, these terms say how it works before it opens
7. Messages sent in your name
- Change orders, notices, invoices and reminders go out in your company’s name, and replies come back to your own email
- Nothing goes to a client until someone in your office approves it
- You are collecting your own money. Paidara does not collect debts for you and does not contact your clients on its own, except messages your office approved in advance, such as a signing nudge or a reminder
- You are responsible for having permission to text and email the people you add, and for telling your crew and clients that you use Paidara
- Paidara can text a client contact for you, for example to confirm extra work or ask for a missing signature or code. Your office taps to send each text it asks for, such as to confirm extra work, and until Twilio approves your number those go by email instead. Reminders on a change order go on their own, up to two, after the office okays them once. Texts go only to a contact who said yes by the link in our email. A text names your company, asks for one thing, and STOP always works. You confirm that you have a business relationship with that client and that the person may be contacted about the work
- Every payment reminder shows your business name, mailing address and a way to contact you
- Payment reminders go by email from your company. They are not sent by text
- Crew join by texting your Paidara number first. Your office can also invite someone with a link that opens a text to your Paidara number, and their own text is their agreement. The office gives the link to its own crew, for example in a message from its own phone or email, so each person chooses to send the first text. We record who agreed, when and how before any text goes out
- Your crew can reply STOP to stop texts from your Paidara number, and HELP for help
- Texts from your Paidara number are about tickets and work, and how many you get depends on how much your crew texts. Message and data rates may apply. For help, reply HELP or email hello@paidara.com
- Your company gets its own Paidara text number. Twilio, our texting provider, lets each toll free number be used by only one business
- You authorize us to get that number for you and to file Twilio’s verification for it in your company’s name. You agree we may share your company’s legal name, business number, address, website and a business contact’s name, email and phone with Twilio for this
- You confirm these details are correct and tell us when they change. If no one else is named, we use the owner as the business contact. Texts from your number may not go out until Twilio approves it, or if Twilio or a phone carrier stops it
- If you close your account, texts from your number stop. We keep the number for 30 days in case you come back. If you ask within those 30 days, we help move the number to your own Twilio account. You must verify it again with Twilio, and its opt outs and settings do not move with it, so we give you its STOP list first and you must honour it. If you do not ask, we release the number after 30 days. Our staff release a text number by hand. Texts sent to a released number are not passed on
8. Dates and rules are a guide
- Paidara shows dates from your contract terms, which you type in and confirm, and from the law as we understand it
- Dates from the law are shown as a guide unless our lawyer has checked the rule. They are never a promise
- We try to keep the rules up to date. We do not promise to catch every change, and a rule can change before we do. Check any rule that matters to you
- Your contract or the facts of a job can change a date. You are responsible for checking every date that matters to you, and for acting in time. A date that is wrong, late or missing does not move your deadline
- Some work is not covered by Alberta’s prompt payment rules, such as maintenance. Paidara shows your client’s own pay terms for that work
9. Not legal advice
- Paidara is software. It gives information, not legal advice, and is not a law firm
- Paidara never files a lien, starts an adjudication or goes to court for you
- Paidara fills in templates from the facts you give it. Your office reads and approves every document and sends it in your own name, or approves a notice once to go on the early warning day. We do not choose a legal approach for you
- Talk to a lawyer about your own situation, especially before a deadline
10. Your data
- You own the information you and your crew put into Paidara. You give us permission to store, read, copy and use it to run Paidara as these terms say
- We use it only to run Paidara for you, to keep it secure and to fix and improve it. We never sell it
- Paidara keeps a company’s records whether or not the owner looks at them. The optional views only read those records, and the owner chooses which ones to show
- We may also combine information from many customers in an anonymous form that never identifies or names you, your crew, your clients, their staff or any other business or person. We use it for reports such as an Alberta Pay Speed report, and to improve Paidara
- When your office corrects what Paidara read from a ticket, we may keep the correction with the photo to improve how Paidara reads tickets for all customers, after names, signatures and phone numbers are covered
- To read tickets, photos, contracts and texts we use an AI service in the United States. Under its current business terms it does not use this information to train its models
- These anonymous, combined reports and improvements belong to us, and we may publish the reports
- For personal information in your data, we act for you and follow your instructions and our privacy policy at paidara.com/privacy
- Our staff can see your records only to give support. Support access lasts up to 7 days and lets staff look but not change anything. If you ask us to enter something for you, such as on a setup call, we do it signed in as an office person you invited, and it shows under that name. Every look is logged for the owner to see. Staff also see each company’s name, setup steps, AI cost, feedback texts with the sender’s phone number, help question words and counts of stuck texts
- If something happens that exposes personal information in your data, we tell you without delay and no later than 72 hours after we confirm it, so you can meet your own duties
- You can export your data from the app while your account is open. After you close it, and for anything the app export leaves out, ask us and we make it within 2 business days, until we delete it. We delete it as set out in our privacy policy, except what the law requires us to keep, and backups are erased on their normal schedule. After we delete, we keep a short record that it happened, when and who asked, with none of the contents. An owner can close the account in the app, or ask us to. When a pilot ends with no yes, the account closes on its own. We delete the data on the day set out in our privacy policy, after we offer an export. We always give at least 14 days after offering the export. A short record is kept
- We keep the original photo of every ticket unchanged, and a record of every change, so the history stays complete
11. Fair use
Paidara, its software, rules, templates and reports belong to us. Your data stays yours. When you use Paidara, you agree not to
- break the law, send spam, harass anyone or send false documents
- try to get into other customers’ data or our systems
- scrape Paidara or pull data out of it by automated means, other than through the export we provide
- copy, reverse engineer or decompile Paidara, or try to get at its source code, rules or templates
- use Paidara’s rules, templates, screens or reports that are not public to build or help build a product that competes with Paidara
- resell Paidara or share access with anyone outside your company, other than the crew, clients, accountants and bookkeepers you invite through Paidara
12. If something goes wrong
- We work to keep Paidara running and your data safe, but we cannot promise it will never be down or never make a mistake
- We fix problems as quickly as we reasonably can, and tell you if something affects your data, as set out in section 10
- Paidara depends on other services, such as phone carriers, hosting and QuickBooks. We are not responsible when they fail, unless we caused the failure
- Reading tickets and contracts has daily and monthly limits. Reading may pause when a limit is reached, and uploads still work
13. Limits on our responsibility
- Paidara is provided as it is, without promises beyond these terms, to the extent the law allows
- We are not responsible for lost profits, lost claims, missed deadlines, lost lien rights or any indirect loss
- Our total responsibility for any claim is limited to what you paid us in the 12 months before the claim, or $5,000 if that is more
- Nothing in these terms limits a responsibility that the law does not allow us to limit
14. Ending
- You can close your account at any time by emailing hello@paidara.com
- We can suspend or close an account that breaks these terms or does not pay, after telling you why and giving you a fair chance to fix it, unless it is putting others at risk
- You can export your data before and after closing, until we delete it
15. Changes to these terms
We may update these terms. We tell the account owner by email at least 30 days before a change that matters takes effect. If you do not accept the change, you can close your account before it takes effect and you will not be charged under the changed terms. Using Paidara after it takes effect means you accept it.
16. General
- Alberta law and the federal laws of Canada that apply in Alberta govern these terms. The courts of Alberta decide any dispute
- If one part cannot be enforced, the rest still applies
- A signed pilot agreement wins over these terms where they disagree
- These terms, our privacy policy and any signed pilot agreement are the whole agreement between us. Sections 10, 11 and 13 continue after the account closes
- We may transfer these terms to a buyer of our business, and we tell you if we do
- Questions go to hello@paidara.com. Privacy questions go to privacy@paidara.com
17. Paidara news texts
- If you tick the box for texts on paidara.com, Paidara, run by 15317886 Canada Inc., sends you news texts about the pilot and Paidara’s launch. We send up to 2 texts a month
- Texting is optional. You can use Paidara and paidara.com without it
- Message and data rates may apply. Wireless carriers are not liable for delayed or undelivered messages
- Reply STOP to opt out or HELP for help. You can also email hello@paidara.com
- We do not sell or share your number or your consent with anyone else. Our privacy policy at paidara.com/privacy explains how we handle it
